EXPORT-IMPORT TRADE CONTRACT

Identification of the parties: The parties to this contract are hereby identified as Seller and Buyer. The Seller is engaged in the business of ___________________________________ and the Buyer is engaged in the business of ___________________________________.

2. Scope of the Contract: The Seller agrees to sell and deliver and the Buyer agrees to purchase and receive the goods described in Attachment A to this Contract, hereinafter referred to as the "Goods" in accordance with the terms and conditions of this Contract. The Buyer shall be responsible for obtaining any

licenses or permits required for the importation of the Goods and for complying with all applicable laws and regulations.

3. Quantity and Price: The quantity of the Goods to be sold and the price of the Goods shall be as set forth in Attachment A to this Contract.

4. Delivery: The Seller shall deliver the Goods to the Buyer's designated port of entry by the delivery date specified in Attachment A to this Contract. The Buyer shall be responsible for all costs associated with customs clearance and transportation from the port of entry.

5. Payment: The Buyer shall pay the Seller the purchase price of the Goods by the payment date specified in Attachment A to this Contract. Payment shall be made by wire transfer to the Seller's designated bank account.

6. Warranty: The Seller warrants that the Goods shall conform to the specifications set forth in Attachment A to this Contract and shall be free from defects in materials and workmanship for a period of ________ months from the date of delivery.

7. Force Majeure: Neither party shall be liable for any failure to perform its obligations under this Contract due to

circumstances beyond its reasonable control, including but not limited to natural disasters, acts of terrorism, and labor strikes.
